These Terms and Conditions ("Terms", "Terms and Conditions") govern your use of our website located at https://yourlocalreferral.com (together or individually "Service") operated by Your Local Referral Networking Organization.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

2. Communications

By creating an Account on our Service, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or instructions provided in any email we send.

3. Purchases

If you wish to purchase any product or service made available through the Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information. A portion of the compliance fees are backed out of setup costs and charged directly from carriers during the initial setup of your account. These fees and costs may vary.

4. Contests, Sweepstakes, and Promotions

Any contests, sweepstakes, or other promotions (collectively, "Promotions") made available through the Service may be governed by rules that are separate from these Terms & Conditions. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms and Conditions, the Promotion rules will apply.

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post on or through the Service, including its legality, reliability, and appropriateness.

6. Accounts

When you create an account with us, you guarantee that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on our Service.

7. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Your Local Referral Networking Organization and its licensors.

Our Service may contain links to third-party web sites or services that are not owned or controlled by Your Local Referral Networking Organization.

Your Local Referral Networking Organization has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third-party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

10. Indemnification

You agree to defend, indemnify and hold harmless Your Local Referral Networking Organization and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

12. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

13. Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of OK, US, without regard to its conflict of law provisions.

15. Membership and Group Structure

  • Membership is open to professionals across industries, with up to three professionals per industry allowed in each group, subject to the group’s discretion and approval.

  • Members must participate actively and professionally during meetings and interactions.

  • Membership levels include Standard, Core Connector, and Next Level Networker, each with distinct benefits and software access.

16. Meeting Structure and Group Guidelines

  • Meetings are held for 90 minutes: 30 minutes of general networking followed by a loosely structured agenda.

    • Members are encouraged to promote themselves and their businesses, with one member spotlight each week.

    • Positive online reviews and SEO efforts are encouraged for the weekly member spotlight.

    • The Organization is not responsible for the business passed between members; all referrals and business activities are at members’ discretion.

17. Software and AI Automation Tools

  • Membership includes access to CNCS Direct software and tools, with enhanced features available for Core Connector and Next Level Networker members.

  • The software’s AI automation is designed to assist with relationship-building, sales management, and improved contact handling.

18. Partner Perks Program

  • Members can earn partner perks through referrals, which can result in discounted or free memberships and potential side income.

  • All referrals must be approved by the group to qualify for partner perks.

19. Code of Conduct

  • Members are expected to act professionally and respectfully during all interactions, both in-person and online.

  • Harassment, discrimination, or any form of unethical behavior will result in immediate review and potential termination of membership without refund.

  • The Organization reserves the right to remove members who do not align with the group’s values or disrupt the networking environment.

20. Liability and Disclaimers

  • The Organization disclaims any responsibility for the outcomes of business relationships, referrals, or deals made within the group.

  • Members acknowledge that participation in the networking group does not guarantee any specific business results.

  • The Organization encourages members to participate in other networking opportunities and groups, including both closed and open networking organizations.

21. Membership Payments and Cancellations

  • Membership fees are due on a monthly or annual basis, depending on the selected plan.

  • Refunds are not provided unless the Organization fails to deliver the promised services due to unforeseen circumstances.

  • The Organization reserves the right to terminate memberships for non-compliance, non-payment, or behavior that disrupts the group’s integrity.

22. Intellectual Property

  • The content, materials, software, and other resources provided by 'Your Local Referral' are proprietary and protected by intellectual property laws.

  • Members may not reproduce, distribute, or share materials without explicit permission from the Organization.

23. Confidentiality Agreement

  • Members agree to maintain confidentiality regarding any sensitive business information shared within the group, including leads, strategies, or proprietary information disclosed during meetings or through the platform.

  • Violation of confidentiality may result in legal action and termination of membership.

24. Non-Compete and Non-Solicitation

Members are free to participate in other networking opportunities but should avoid conflicts of interest that may harm the integrity of 'Your Local Referral.

25. Software Usage and Data Integration

  • The use of CNCS Direct software is governed by its own terms and conditions, which members must agree to when using the software. Visit www.cncsdirect.com for more information

  • Data entered into the software will be protected according to the Privacy Policy, and members are responsible for managing their data according to best practices.

26. Ownership of Member Data and Relationships

Your Local Referral' holds exclusive ownership over member relationships and related data generated within the platform. Members cannot use this data for competing networking groups or purposes without explicit written consent from the Organization.

27. Right to Modify Services

The Organization reserves the right to modify, update, or discontinue services, software, or membership structures at its discretion, without prior notice or obligation.

28. Refund Policy and Membership Termination

  • Refunds are only provided in specific cases, such as when the Organization fails to deliver the agreed services due to unforeseen circumstances.

  • Termination by members requires a 30-day written notice. The Organization reserves the right to terminate memberships without notice for non-compliance.

29. Dispute Resolution

Any disputes arising from this Agreement or the networking group shall be resolved through mediation or arbitration before resorting to litigation.

30. Force Majeure

The Organization is not liable for delays or failures in service due to circumstances beyond its control, including but not limited to acts of God, natural disasters, pandemics, strikes, or government actions.

31. Indemnification Clause

Members agree to indemnify and hold harmless the Organization, its officers, employees, and partners from any claims, liabilities, damages, or expenses arising from their participation in the group or use of services.

32. Severability

If any part of this Agreement is deemed unenforceable, the remaining provisions will continue in full force and effect.

33. Governing Law

This Agreement is governed by and construed in accordance with the applicable laws of the jurisdiction where the member is located or where the Organization operates. Any legal actions or disputes must be resolved within that jurisdiction.

34. Amendments and Modifications

The Organization reserves the right to amend this Agreement as needed. Members will be notified of any changes in writing at least 30 days prior to the effective date.

35. Compliance with the Telephone Consumer Protection Act (TCPA)

CNCS Direct provides software tools that allow users to engage in telemarketing and communication activities. By using our software, you agree to comply with all applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA). CNCS Direct is not responsible for ensuring your compliance with the TCPA or any other federal, state, or local laws governing telemarketing, texting, or robocalls.

You acknowledge that:

You are solely responsible for obtaining the necessary prior express written consent from all individuals to whom you send calls or texts using our software, in compliance with the TCPA.

CNCS Direct does not control or monitor the content or recipients of any communications sent through our software and is not liable for any violations of the TCPA that may arise from your use of the platform.

Any liability for violations of the TCPA or similar regulations that result from your use of CNCS Direct's software is entirely your responsibility. You agree to indemnify and hold harmless CNCS Direct, its employees, and agents from any claims, damages, or fines resulting from non-compliance with the TCPA or any other telecommunication laws.

35. Changes

These Terms shall be governed and construed in accordance with the laws of the US, without regard to its conflict of law provisions.
